1. Scope of Services

Digital Foundations by Karoline provides consulting and implementation services in the areas of:

• business structure and systems

• process optimization

• dashboards and templates

• website and marketing development

The exact scope of services is defined individually for each client.

2. Contract Formation

A contract is concluded once a written agreement (e.g. email confirmation or proposal acceptance) has been confirmed by both parties.

3. Services and Delivery

Services are provided based on the agreed scope and timeline.

All services are delivered with due care and professionalism. However, no specific business results can be guaranteed.

4. Client Responsibilities

The client agrees to:

• provide all necessary information and materials

• respond in a timely manner

• cooperate during the project

Delays caused by the client may affect delivery timelines.

5. Fees and Payment

Fees are agreed individually and stated in the respective offer or agreement.

Unless otherwise agreed:

• invoices are payable within 14 days

• payments must be made without deduction

Late payments may result in delays or suspension of services.

6. Cancellation and Termination

Both parties may terminate the collaboration at any time with reasonable notice.

Work already completed must be paid for in full.

7. Liability

All services are provided to the best of knowledge and ability.

No liability is accepted for:

• indirect damages

• loss of profit

• business decisions made based on the provided services

8. Intellectual Property

All concepts, systems, templates, and materials created remain the intellectual property of Digital Foundations by Karoline until full payment has been received.

After payment, the client receives the right to use the delivered materials for their business.

9. Confidentiality

All information shared during the collaboration will be treated as confidential and will not be disclosed to third parties.

10. Applicable Law

These Terms & Conditions are governed by Austrian law.

11. Final Provisions

If any provision of these Terms & Conditions is found to be invalid, the remaining provisions shall remain unaffected.
